1. Agreement to Terms

By accessing or using Sourcemark ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

The Service is operated by Sourcemark. Legal entity details will be updated here once the company registration is finalised. Sourcemark is based in London, United Kingdom.

2. What Sourcemark Provides

Sourcemark is consent infrastructure for AI training data. The Service allows creators and rights-holding organisations to make declarations about whether their work is available for AI training, and provides a machine-readable registry that AI companies can query.

Specifically, the Service:

  • Creates fingerprints (hashes) of files locally on your device. Original files are never sent to or stored by Sourcemark.
  • Records your declaration about your AI training consent choice, including consent status, timestamp and licensing contact where relevant.
  • Anchors declarations cryptographically to a public ledger to create a verifiable, timestamped record.
  • Publishes a public verification page for each declaration that can be checked by anyone.

Sourcemark is not a licensing marketplace, a copyright enforcement tool, a rights verification service or a scraper blocker. It does not set prices, negotiate deals, process payments, monitor content usage or remove content from the internet. It records who made a declaration about a specific file and when — it does not verify legal ownership.

3. Account Responsibilities

To use certain features of the Service, you must create an account. When you do, you agree to:

  • Provide accurate and complete information during registration and keep it up to date.
  • Maintain the security of your account credentials and not share them with others.
  • Maintain only one account per person or organisation.
  • Accept responsibility for all activity that occurs under your account.

You must notify us promptly at legal@sourcemark.ai if you become aware of any unauthorised use of your account.

4. Declarations and Attestations

When you create a declaration through the Service, you attest that you have the authority to make that declaration on behalf of the work in question. This attestation is part of every declaration you make.

Sourcemark does not verify ownership, copyright status or the accuracy of your attestation. The Service records your declaration as stated. You are solely responsible for ensuring you have the right to make declarations for the works you declare.

Declarations are append-only. When you update a declaration, the previous version is preserved in the record history. This means the full timeline of declarations for a given work remains visible and auditable.

5. Acceptable Use

You agree not to use the Service to:

  • Make fraudulent declarations about works you do not have authority over.
  • Impersonate another person, creator or organisation.
  • Use automated tools, scripts or bots to access or interact with the Service in ways that exceed normal use or place unreasonable load on infrastructure.
  • Attempt to circumvent rate limits, access controls or security measures.
  • Use the Service for any purpose that is unlawful or prohibited by these Terms.

Sourcemark reserves the right to suspend or terminate accounts that violate these terms.

6. Intellectual Property

Sourcemark does not claim any ownership of the works you declare through the Service. You retain all rights to your content. By using the Service, you grant Sourcemark a limited licence to store and display the metadata associated with your declarations (fingerprints, consent status, timestamps and licensing contact information) for the purpose of operating the registry and verification pages.

The Sourcemark platform, brand, logo, website and all associated software, designs and documentation are the intellectual property of Sourcemark and may not be copied, modified or distributed without prior written consent.

7. Registry Access for AI Companies

Access to the Sourcemark registry for AI companies, data providers and other organisations querying declarations at scale is subject to separate terms and pricing. Contact ai@sourcemark.ai for details.

8. Limitation of Liability

Sourcemark provides infrastructure for recording and querying AI training consent declarations. It does not provide legal advice, and no information on the Service should be interpreted as such.

Sourcemark does not guarantee:

  • That declarations will result in compliance by any third party.
  • That AI companies or other parties will check or act on declarations.
  • That the Service will be available without interruption or error.
  • The accuracy, completeness or legal validity of any declaration made by any user.

To the maximum extent permitted by applicable law, Sourcemark and its officers, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use or goodwill, arising from your use of the Service.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under the laws of England and Wales.

9. Indemnification

You agree to indemnify and hold harmless Sourcemark and its officers, directors, employees and agents from any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Any declaration you make through the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.

10. Termination

Either party may terminate the relationship at any time. You may close your account by contacting us. Sourcemark may suspend or terminate your account if you breach these Terms or if continued operation of your account poses a risk to the Service or other users.

Upon termination, your right to access the Service ceases. However, declarations already published to the registry and anchored to the public ledger will remain part of the public record. This is by design: the registry is intended to provide a durable, auditable trail of declarations.

11. Changes to Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page and, where practicable, notify you by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
